Breaker board changes with Ramelius takeover

PERTH (miningweekly.com) – Takeover target Breaker Resources has announced board changes amid a takeover by gold miner Ramelius Resources.

With Ramelius gaining a majority interest in Breaker, nonexecutive directors Linton Putland, Mike Kitney, Mark Edwards and Eric Vincent have resigned from the Breaker board with immediate effect, while Ramelius will appoint three representative directors to manage its controlling interest.

Breaker nonexecutive chairperson Peter Cook and executive director and CEO Sam Smith will remain on the board to manage the interest of minority shareholders until Ramelius reaches compulsory acquisition of the company, or the offer period expires.

Ramelius MD Mark Zeptner has now been appointed to the Breaker board, along with Tim Manners and Alan Thom, with Richard Jones appointed as joint company secretary.

Ramelius’ share offer is set to close on May 15.
