Private Equity

Private equity is an investment asset class in which funds and investors acquire ownership stakes in private companies or take public companies private through buyouts. Private equity firms raise capital from institutional investors such as pension funds, insurance companies, endowments and high-net-worth individuals, pooling these resources into dedicated funds with finite lifespans, typically ten years. The firms then deploy this capital to acquire controlling or significant minority interests in target businesses, with the aim of improving operational performance, driving growth and ultimately selling the investments at a profit. Private equity transactions are structured in several forms, including leveraged buyouts, growth capital injections, venture capital for early-stage companies, and distressed or turnaround investments. The industry plays a significant role in corporate restructuring, management buyouts and the financing of expansion projects that may be difficult to fund through traditional debt or public equity markets. Private equity investors typically take active roles in portfolio companies, appointing board members, refining strategy and implementing operational improvements to enhance value. Returns are realised through exit strategies such as trade sales to strategic buyers, secondary buyouts to other private equity firms, or initial public offerings on stock exchanges. The sector has grown substantially since the late twentieth century and is now a major component of global capital markets, with dedicated private equity houses, specialist funds and divisions within larger financial institutions all competing for deals. In emerging markets, including South Africa, private equity has become an important source of growth capital and transformation funding, often supporting black economic empowerment transactions and the development of small and medium enterprises. The industry is characterised by long investment horizons, illiquidity during the holding period, and the potential for outsized returns relative to public equities, albeit with commensurately higher risk.
